Terms of service

What you get, what we promise, and what happens when things go wrong. Two of these terms are unusual, and both are deliberate.

The agreement

These terms apply when you create an account on wpapaxon.com, install an Apaxon plugin, or buy a subscription. By doing any of those you accept them. If you are agreeing on behalf of a company, you confirm you are able to bind it.

They should be read alongside our privacy policy.

Who we are

Apaxon Limited, registered in England and Wales, company number [COMPANY NUMBER], registered address [REGISTERED ADDRESS]. In these terms “we”, “us” and “Apaxon” mean that company; “you” means the person or organisation holding the account.

Your account

You need an account to obtain a licence key. Keep your password and your licence key to yourself — a licence key is a bearer credential, and anyone holding it can consume your seats.

We store only a hash of your licence key, so we cannot read it back to you. If you lose it, you can generate a replacement from your portal. Doing so releases every site using the old key, and you will need to re-enter the new one.

Tell us promptly if you think someone else has access to your account. We strongly recommend enabling two-factor authentication, and require it for staff accounts.

What a subscription buys

A subscription to an Apaxon product entitles you to:

  • Download that product from wpapaxon.com
  • Receive updates for it while the subscription is current
  • Support, through the channels described on the product page
  • Use the platform services the product depends on

Entitlements are held per product. Buying a second product does not mean a second licence key: your existing key gains the entitlement and your sites pick it up on the next check. Cancelling one product leaves the others untouched.

The code is GPL, and we do not pretend otherwise

Apaxon plugins are WordPress plugins, and are licensed under the GNU General Public License, version 2 or later. That gives you the right to use, study, modify and redistribute the code, on as many sites as you like, for as long as you like.

A subscription does not grant permission to run the software. You already have that under the GPL, and we could not take it away if we wanted to. What a subscription buys is the service around the code: hosting, signed update delivery, support, and the platform the products connect to.

Some plugins are also distributed free through the WordPress.org directory. Those are fully functional on their own — nothing in them is disabled, capped or time-limited pending payment. Paid products are separate plugins that add code, not switches that unlock it.

Nothing switches off

If your subscription lapses, is suspended, or you stop paying us entirely, your website keeps working. We will not disable a feature you are using, delete your data, or take your site down.

What stops is updates and support. What continues is everything else:

  • Installed plugins keep running exactly as they did
  • Your data stays where it is, in your own database, untouched
  • If our platform is unreachable, plugins keep their last known entitlements and carry on. An outage on our side is not your problem

This is a commitment, not a description of current behaviour that we might change. It is also the only sensible reading of the GPL, which does not permit us to revoke your right to run code you already have.

Seats and sites

Each product entitlement covers a number of sites, shown when you buy it. A site is identified by its address, normalised so that http, https and www are one site rather than three.

You can release a seat from your portal at any time, including from a site you no longer control. Moving a site between staging and production, or between hosts, should not cost you a seat; if it does, tell us and we will sort it out.

Fees and renewals

Prices are shown on the pricing page and include VAT where applicable. Subscriptions renew automatically at the end of each term unless cancelled, and we will email you before a renewal is taken.

Cancel any time from your portal. Cancellation takes effect at the end of the term you have paid for — you keep updates and support until then.

Refunds. If a product does not do what its page says it does, tell us within 30 days of purchase and we will refund you in full. We would rather return your money than argue about it.

Acceptable use

You agree not to:

  • Share or resell a licence key so that others use your entitlements
  • Attempt to gain access to accounts, data or systems that are not yours
  • Interfere with the platform's operation, including by automated requests at a rate that degrades it for others
  • Use the service to break the law or infringe someone else's rights

Redistributing the plugin code itself is not on this list. The GPL permits it, and so do we.

Availability

We aim to keep the platform available at all times, but we do not currently offer a service level agreement. Maintenance, outages and third-party failures happen.

This is why plugins are built to survive our absence: they cache entitlements and continue working through an outage on our side. Your website's availability does not depend on ours.

Warranties

We provide the service with reasonable care and skill. Beyond that, and to the extent the law allows, the software is provided as-is — which is also what the GPL says.

We do not warrant that the software is free of defects or that it will meet a particular requirement of yours. If it does not, the refund term above applies.

Nothing in these terms affects your statutory rights as a consumer, if you are one.

Liability

Nothing here excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.

Subject to that, and to the extent the law allows:

  • Neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill
  • Our total liability in any twelve-month period is limited to the amount you paid us in that period

Keep your own backups. We are not liable for loss of data on your website. That is true of every plugin you install, and saying so plainly is more useful than burying it.

Ending the agreement

You can close your account at any time. We may suspend or close an account that breaches the acceptable use terms, or where payment fails and is not resolved after reasonable notice.

If we close your account, you keep the software you have already installed — under the GPL that right is not ours to withdraw. What you lose is downloads, updates, support and access to the portal.

Changes to these terms

We may update these terms. If a change materially affects your rights, we will email account holders at least 30 days before it takes effect, and you may cancel before then for a pro-rata refund.

The “nothing switches off” commitment is not something we will change. If it ever becomes untrue, it will be because the company no longer exists — and even then the GPL protects the code you already have.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction — except that if you are a consumer resident elsewhere in the UK, you may bring proceedings in your own jurisdiction.
